Terms of Service

SpendRegister is a company-level register for things that renew or expire — subscriptions, contracts, assets, warranties and licences — organised by department, with an escalating reminder ladder, spend reporting, optional purchase-approval workflows, and an optional metered AI document-extraction add-on.

The reminders are a tool to help a human decide; they are not a guarantee. You remain responsible for your own renewals, cancellations and payments. We do our best to deliver reminders reliably, but we do not warrant that every reminder will be delivered or acted upon.

You must be at least 16 and able to form a binding contract, and you must use the service on behalf of an organisation for business purposes. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for activity under your account.

If you set up a workspace for an organisation, you confirm you are authorised to act for it and to bind it to these terms. Owners and admins can manage members and their access.

You agree not to:

• break the law, or infringe anyone's rights, using the service;
• upload malware, or attempt to breach, probe or disrupt the service or its security;
• access data that isn't yours, or circumvent department-visibility or role controls;
• resell, sublicense or misrepresent the service; or
• use the service to store data you have no right to hold.

You are responsible for the data you put into SpendRegister and for having the right to process it.

• Free tier. Up to 10 tracked items (archived items count toward the cap), the full reminder ladder, year-over-year history, and unlimited users and departments — free.
• Paid plan. US$120 per year billed annually, or US$14 per month billed monthly — the same plan either way. It lifts the item cap and adds purchase-approval workflows and priority support. Prices are tax-inclusive: the amount shown is the amount charged.
• Changing how you pay. You can move between annual and monthly at any time. Moving to annual takes effect immediately and you are charged the difference, with credit for the part of the period you have already paid for. Moving to monthly takes effect at the end of the period you have already paid for — nothing is charged or refunded at the time you make the change.
• AI add-on. Optional. US$0.50 per document, drawn from a prepaid balance you top up (minimum $1). Off by default. The balance does not expire; unused balance is refundable on request.

Payments are handled by our Merchant of Record, Dodo Payments, who act as merchant of record and appear on your statement. Paid plans renew automatically on the interval you chose, annually or monthly, unless cancelled. You can cancel at any time; cancellation stops the next renewal and you keep paid access until the end of the period you have paid for.

If a payment fails. We do not cut off access the moment a card is declined. Dodo retries the payment and emails you, and your account keeps working for 14 days from the failed renewal. If the payment still has not succeeded at the end of that period, the account returns to the free plan — your data is not deleted, and you can subscribe again at any time.

Refunds. If you are unsatisfied, contact us and we will review your situation and handle refunds on a case-by-case basis. Metered AI usage already incurred is non-refundable. Nothing here limits refund rights you have under applicable law.

Our Fair Pricing Pledge is a genuine commitment, not marketing: we do not charge per seat or per department, and we do not silently raise existing customers. If we ever change the platform price, we will tell existing customers first, in plain words, with time to decide, and a change will not retroactively raise a price you have already locked in for a current term.

As between you and us, you own the data you put into SpendRegister. You grant us the limited rights needed to host and process it to provide the service (including the sub-processors listed in our Privacy Policy). We do not sell it, and we do not use your item data to train AI models.

We own the SpendRegister software, brand, design and content. These terms grant you a limited, non-exclusive, non-transferable right to use the service; they do not transfer our intellectual property to you. You can export your data, and you can ask us to delete it as described in the Privacy Policy.

We aim to keep the service available and to improve it over time. We may add, change or remove features, and we may perform maintenance. We are not liable for interruptions outside our reasonable control.

The service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including fitness for a particular purpose, merchantability and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that reminders will always be delivered. You are responsible for your own financial and contractual decisions.

To the maximum extent permitted by law, Skhoolar will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenues, data, or a missed renewal, cancellation or expiry — even if advised of the possibility. Our total aggregate liability arising out of or relating to the service is limited to the greater of the amount you paid us in the 12 months before the claim, or US$100. Nothing in these terms limits liability that cannot be limited by law.

You agree to indemnify and hold Skhoolar harmless from claims arising out of your data, your use of the service, or your breach of these terms or of applicable law.

You may stop using the service at any time, and you can ask us to delete your account and data as described in the Privacy Policy. We may suspend or terminate access if you materially breach these terms, fail to pay, or use the service in a way that risks harm to others or to the service. On termination, your right to use the service ends; the sections that by their nature should survive (ownership, disclaimers, liability limits, indemnity, governing law) survive.

These terms are governed by the laws of India, without regard to conflict-of-laws rules, and the courts of New Delhi, India have exclusive jurisdiction, except where mandatory local law gives you other rights.

We may update these terms as the product and law evolve. When we make a material change, we will update the date above and, where appropriate, notify you. If you keep using the service after an update, you accept the revised terms.
